1) Introduction and acceptance

HealthspanX (“HealthspanX,” “we,” or “us”) owns and operates the website located at healthspanx.org and may now or in the future own and/or operate a HealthspanX mobile application (together, the “platform”). Your access to and use of the platform, any portion of it, and anything associated with it—including all text, images, audio, video, and other materials (collectively, the “content”); any products or services provided through or by HealthspanX; and any affiliated website, software, or application owned or operated by HealthspanX (collectively with the platform and the content, the “service”)—are governed by these terms and conditions (this “agreement”). By visiting, accessing, registering with, or using the service, you agree to be bound by this agreement.

2) Changes to this agreement

We may update this agreement from time to time. When we do, we will post the updated version on the platform and revise the “last updated” date above. By continuing to use the service after changes are posted, you agree to the modified agreement.

3) Eligibility; availability; shipping scope

The service is available only to individuals located in jurisdictions where we offer the service, who are at least eighteen (18) years of age (or the age of majority in their place of residence, if higher), and who have accepted this agreement. We ship domestically within the United States and internationally to countries shown at checkout, except where prohibited by sanctions or trade restrictions. We do not ship to Belarus, Cuba, Iran, North Korea, Russia, Syria, or Ukraine. International customers are responsible for any customs and duty fees and for any delays due to customs clearance.

4) No medical or telehealth services; informational content only

HealthspanX does not provide medical or telehealth services and is not a healthcare provider. Any health-related information available through the service is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider before starting, altering, or discontinuing any course of treatment, therapy, diet, medication, or use of any medical device. Never disregard professional medical advice or delay seeking it because of information available through the service.

Supplement disclaimer: FDA statement

Statements about our dietary supplement products have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Individual results may vary. Consult your physician before using any dietary supplement, especially if you are pregnant, nursing, have a medical condition, or take medications.

5) Accounts; registration; security

To use certain features, you may register and create an account. You agree to provide truthful, accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Promptly notify support@healthspanx.org of any actual or suspected unauthorized access or security incident. You are responsible for securing your devices.

6) Privacy

Please review our privacy policy (incorporated by reference) for how we collect, use, disclose, and protect information in connection with the service.

7) Products and availability

All products offered for sale are subject to availability. We may limit quantities, discontinue products, or correct errors (including pricing) at any time. Product information, including descriptions and images, may change without notice.

8) Terms of sale; pricing; taxes; shipping risk and timing

Prices are shown at checkout and may change prospectively with notice (including for subscriptions). You are responsible for any applicable taxes, duties, or fees (“taxes”). We collect taxes where required and may estimate taxes at checkout; actual amounts may vary. Unless stated otherwise in writing, risk of loss passes to you upon our delivery to the carrier. Delivery dates are estimates only.

Order processing time

Orders are typically processed within 1–2 business days, excluding weekends and holidays.

Shipping time and carriers

We use USPS, UPS, FedEx, or similar carriers based on destination and package characteristics. Typical delivery windows are 3–7 business days for U.S. domestic orders and 5–12 business days for international orders; international transit may be extended by customs clearance.

Shipping rates and free shipping

Shipping rates are calculated at checkout based on destination and weight. We offer free shipping for all U.S. orders and for international orders over USD $100, as shown at checkout.

Shipping confirmation and tracking

When your order ships, you will receive a confirmation email with tracking details. Tracking may take up to 24 hours to activate.

Address changes

If you need to change your shipping address, contact us immediately after placing your order. Address changes are not guaranteed if the order has already been processed for shipping.

Undeliverable or lost packages

If a package is returned as undeliverable, we will refund the product price but not shipping charges. If your package is lost in transit, contact us promptly; we will work with the carrier to locate it or provide a replacement where appropriate.

9) Payment processing

Payments are processed by third-party payment processors (for example, Stripe). Their terms and privacy policies apply to your payment information. HealthspanX is not responsible for such third parties.

10) Subscriptions (bimonthly); reminders; pause or cancel anytime

Certain products are offered on a subscription basis. For subscription products, your designated payment method will be charged on a recurring bimonthly cycle until you cancel or pause. We will send a reminder email three (3) days before each renewal to allow time for updates or cancellation. You may cancel or pause at any time up to forty-eight (48) hours before the next processing date by logging into your account to manage your subscription or by emailing support@healthspanx.org. Cancellation or pause takes effect at the end of the then-current cycle; any order already processed will ship. We will provide notice of any prospective price changes or material subscription changes.

11) Returns and refunds: sixty-day money-back guarantee

For first-time purchases made on healthspanx.org, you may request a refund within sixty (60) days of your order date, subject to the conditions in our return and refund policy (incorporated by reference). Use our return portal at https://healthspanx.org/apps/return_prime to initiate a return, refund, or exchange by selecting “request a refund” and following the prompts. Refunds are issued to the original payment method and exclude original shipping and handling.

Return conditions and partial returns

For single-packed products, return the product (opened or unopened). For multi-packs, return all opened and unopened units; refunds will be processed for all unopened units plus one opened unit per multi-pack. If you return fewer than all units from a multi-pack within the 60-day period, refunds will be based on the number of unopened units returned plus one opened unit (if applicable). Unopened units must be in original condition with the manufacturer’s seal intact.

Exchanges

We do not offer direct exchanges outside the return portal flow. Through the portal, select “exchange” to create a replacement order automatically once your return is approved.

Damaged or defective items

For damaged or defective items, initiate the return in the portal within seven (7) days of delivery and include photos of the issue. We cover return shipping for approved damaged/defective cases and will arrange a replacement at no additional charge.

Return shipping and timing

Unless otherwise stated in our return and refund policy or for damaged/defective items approved as above, customers are responsible for return shipping costs. Use a trackable method and adequate packaging; items damaged in transit due to inadequate packaging may not be eligible for a full refund. After receipt, we typically assess returns within five (5) working days and process refunds within seven (7) working days. Your bank may take an additional seven (7) to ten (10) working days to post the refund. The full refund process should not exceed thirty (30) days from our receipt of your return. For international shipments, re-shipments or refunds for lost shipments will not be issued earlier than six (6) weeks after the shipment date.

12) User submissions; license

Subject to applicable privacy laws, any information you transmit to HealthspanX via the service—whether by direct entry, submission, email, or otherwise, including data, questions, reviews, or suggestions (collectively, “submissions”)—will, to the extent permitted by law, be treated as non-confidential and non-proprietary. Subject to any applicable account settings you select, you grant HealthspanX a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and sublicensable license to use, reproduce, modify, adapt, create derivative works from, distribute, publicly perform, and publicly display your submissions for the purpose of operating, improving, and providing the service. You represent that you have all rights necessary to grant this license. We may use aggregated and de-identified data derived from submissions for analytics, improvement, research, and benchmarking.

13) Intellectual property; limited license

The service and all content are protected by copyright and other intellectual property laws. Subject to your compliance with this agreement, HealthspanX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your personal, non-commercial use. All rights not expressly granted are reserved by HealthspanX and its licensors. “HealthspanX,” our logos, and related marks are trademarks or service marks of HealthspanX and may not be used without our prior written permission.

14) Prohibited uses

You agree not to use the service (i) for any unlawful, fraudulent, or malicious purpose; (ii) to interfere with others’ use; (iii) to gain unauthorized access to accounts, systems, or data; (iv) to reverse engineer, decompile, or disassemble any portion of the service; (v) to upload malware or harmful code; (vi) to infringe intellectual property or other rights; (vii) to scrape or harvest data; (viii) to create false identities or duplicate accounts; or (ix) to assist or enable others to do any of the foregoing.

15) Third-party services; links

Third parties may offer products or services through or linked from the service. Your interactions with third parties—including payment, delivery, and related terms—are solely between you and those third parties. HealthspanX is not responsible for, and disclaims all liability arising from, third-party goods, services, or websites.

16) Right to monitor

We may monitor use of the service and remove materials that, in our discretion, may be illegal, create liability, violate this agreement, or are inconsistent with the purpose of the service.

17) Electronic communications

When you use the service or communicate with us electronically, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You may opt out of certain non-transactional emails using the unsubscribe link in those emails.

18) Copyright notices (soft notice; no registered DMCA agent)

If you believe content on the service infringes your copyright, email support@healthspanx.org with: (1) your name and contact information; (2) a description of the copyrighted work; (3) a description of the material you believe is infringing and where it appears on the service (URL); and (4) a statement that you have a good-faith belief the use is not authorized. We may remove or disable access to material in our discretion. HealthspanX does not maintain a registered Digital Millennium Copyright Act agent and does not claim safe-harbor protections under 17 U.S.C. § 512. We may, in appropriate circumstances, terminate or restrict access for users who repeatedly infringe others’ rights.

19) Disclaimers

Content and other information on the service are provided for convenience. Your reliance on such information is at your own risk. The service and all information, content, products, and materials made available through the service are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, HealthspanX and its affiliates, licensors, suppliers, and partners disclaim all warranties, express or implied, statutory or otherwise, including implied warranties of merchantability, non-infringement, satisfactory quality, and fitness for a particular purpose. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Nutrigenomic, longevity, or other health outcomes are not guaranteed.

20) Limitation of liability

To the fullest extent permitted by law, in no event will HealthspanX or its affiliates, licensors, suppliers, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the service or content, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not HealthspanX has been advised of the possibility of such damage. To the extent not prohibited by law, HealthspanX’s total liability for any claim arising out of or relating to the service will not exceed the greater of: (a) the amount you paid to HealthspanX for products or services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (U.S. $100). Any claim must be brought within one (1) year after the cause of action accrues.

21) Indemnification

You agree to defend, indemnify, and hold harmless HealthspanX and its affiliates, and their respective officers, directors, employees, agents, and representatives, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the service, your violation of this agreement, or your violation of any rights of another.

22) Termination; repeat infringers

We may suspend or terminate your access to the service, in whole or in part, at any time for any reason, including violation of this agreement or discontinuation of the service. Sections concerning security, prohibited activities, intellectual property, submissions, disclaimers, limitation of liability, arbitration, indemnity, and jurisdiction survive termination. We may terminate or restrict access for users who repeatedly infringe others’ intellectual property rights.

23) Dispute resolution; binding arbitration; class waiver; opt-out

You agree that any dispute between you and HealthspanX arising out of or relating to this agreement or the service will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will take place by video, telephone, or in your county of residence, unless the parties agree otherwise. You waive the right to a jury trial or to participate in a class action. Each party will bear its own attorneys’ fees, and fees will be allocated as required by AAA rules or applicable law. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims relating to intellectual property or unauthorized access to the service. You may opt out of arbitration within thirty (30) days of first accepting this agreement by emailing support@healthspanx.org with your name, address, and a clear statement that you wish to opt out of arbitration.

24) Governing law; venue; severability

This agreement is governed by the Federal Arbitration Act and the laws of the State of Nevada, without regard to conflict-of-laws principles. If any portion of this agreement is found unenforceable, that portion will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. Section headings are for convenience only.

25) Assignment; no agency; third-party terms

Nothing in the service or this agreement creates any partnership, joint venture, employment, or agency relationship between you and HealthspanX. You may not assign any rights or obligations under this agreement without our prior written consent. HealthspanX may assign this agreement at any time, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. Your use of any third-party software, product, or service in connection with the service is governed by that third party’s terms. Except as expressly provided in this agreement, there are no third-party beneficiaries.

26) Notices; contacting us

We may provide notices to you via email, postings within the service, chat, or mail. You consent to electronic delivery of notices. For questions about this agreement, contact: support@healthspanx.org or use the on-site chat or contact page.

27) Entire agreement; order of precedence

This agreement, together with any policies or terms referenced or posted within the service (including the privacy policy, shipping policy, subscription cancellation policy, and the return and refund policy), constitutes the entire agreement between you and HealthspanX regarding the service and supersedes any prior or contemporaneous agreements regarding the service. If there is a direct conflict between this agreement and a policy incorporated by reference, the more specific policy controls for its subject matter.

28) Acceptance

By purchasing a product from HealthspanX, checking “I agree,” using any other acceptance mechanism presented through the service, or otherwise indicating your acceptance, you acknowledge that you have read, understood, and agreed to be bound by this agreement. If you do not agree, do not create an account or use the service. You represent that you are authorized to accept this agreement on behalf of yourself and, if applicable, the person or entity you represent.
